Andrew is a business attorney, representing emerging businesses in strategic planning and legal resource management. He routinely assists clients with corporate, finance and securities matters, including mergers and acquisitions, financings, venture capital transactions, and joint ventures. He also handles day-to-day legal matters, including initial organization, commercial contracts, license agreements and trade secret protection. In addition, Andrew represents venture capital firms and investors in early stage and mezzanine financing transactions, buyouts and restructurings.

Andrew’s practice covers a wide range of industries, including software, advanced materials, medical devices, manufacturing, business-to-business and business-to-consumer services, distribution and entertainment. Andrew’s approach to client service is to listen well, communicate effectively and respond promptly.


  • Represented an industrial products distributor and systems integrator in sale to public entity acquired by Boeing.
  • Represent health-tech start-ups with initial funding and technology licensing from universities.
  • Represented cannabis companies in initial organization, financings, contracts and sale transactions.
  • Represented defense contractor in a strategic sale to a private-equity backed purchaser.
  • Represented a regional distributor in several “bolt-on” acquisitions.
  • Represented global construction business in connection with an off-shore reorganization.
  • Represent founder of growing commercial products company to negotiate, structure, and execute buy-out of second stockholder.
  • Represent growing, VC-backed health-tech company in license agreements with major health-care organizations.
  • Represented venture funds in Series A, Series B and Convertible Note investments in health care services company.
  • Represented publicly traded company in a $150 million acquisition of an industrial products manufacturer.

Outside the office, Andrew serves on the advisory counsel for the Wyner Family Jewish Heritage Center at the New England Historical Geneological Society and sits on the board of directors of the Long Beach Road Association. He previously served as a mentor with BUILD Boston, helping at-risk high school students start businesses. In his free time, Andrew enjoys skiing, hiking and traveling.
