Tony has over two decades of experience counseling clients on the tax and regulatory issues impacting compensation and benefits arrangements.  As a former business leader at industry-leading global firms, including two of the Big Four, Tony’s unique insider perspective makes him a valuable resource for tax directors, general counsel, boards of directors, senior executives, compensation committees and human resources professionals.

Tony is a trusted advisor to public, private and non-profit businesses on issues involving executive compensation, benefits, fringes and perquisites, deferred compensation and ERISA. He counsels on the administration and compliance of retirement, health and welfare plans, the formulation and implementation of governance practices for plan fiduciaries and, when applicable, compliance remediation considerations.

For clients involved in complex mergers and acquisitions, corporate joint ventures, private equity transactions and spin-offs, Tony counsels on the compensation, benefit and executive issues that arise pre- and post-transaction.

  • Advised public and private companies on the design, negotiation and implementation of employment agreements and incentive compensation programs.
  • Designed and drafted employment contracts, severance agreements, parachute agreements, and a variety of executive compensation arrangements for senior-level executives.
  • Designed and oversaw compliance review of employers’ ESOP, pension and 401(k) plans for companies across a wide variety of industries.
  • Advised fiduciaries in the proper discharge of their duties, establishing structures and strategies to protect fiduciaries and plan sponsors from investment liability and liability from other benefit plan decisions.
  • Designed and implemented stock and non-stock based executive compensation and benefit programs.
  • Assisted with the development of exit strategies for business owners.
  • Assisted clients with merging multiple qualified retirement plans acquired in various company merger transactions.
  • Drafted plan documents, summary plan descriptions, and agreements between plan sponsors, plan fiduciaries and plan service providers.
  • Counseled public companies on the design, administration and regulatory compliance of tax-qualified retirement plans, non-qualified deferred compensation plans, executive incentive compensation plans, executive employment and severance agreements, Section 409A compliance, equity-based compensation plans, health and welfare plans, and cafeteria plans.
  • Represented clients in IRS, DOL and PBGC audits.

Outside the office, Tony can be found hitting the greens or the slopes, hiking the trails and reading about history. Some might also be surprised at his witty sense of humor. Tony’s community involvement activities include serving on the board of directors of Nashawtuc Country Club as Secretary (2013) and Treasurer (2010-2012).
