John represents business organizations and individuals primarily in the areas of securities law, limited liability company law, corporate law, partnership law, venture capital, and real estate syndication. He frequently assists clients in matters involving business formations, private and public financings, and acquisitions and sales of businesses.

John has been with Davis Malm since 1992. Prior to joining the firm, he spent 22 years with Boston-based Gaston & Snow.

  • Registered and private offerings of stock, notes and syndicated loans by a Norwell MA based NYSE-listed company which raised in the aggregate more than $3.0 billion, including public offerings and private placements (including for purposes of resale under SEC Rule 144A and Regulation S) through Goldman Sachs and other investment bankers.
  • More than 20 acquisitions by a NYSE-listed company involving aggregate purchase prices of more than $2.0 billion paid in cash or securities issued by the client.
  • Three issuer tender offers by a NYSE-listed company in connection with refinancing of more than $1.0 billion of outstanding senior notes.
  • Reverse takeover of a Wakefield MA NASDAQ-listed company by a Canadian private company which became listed on NASDAQ and the Toronto Stock Exchange.
  • Preparation or review of proxy statements and periodic reports issued by public-held clients under U.S. securities laws.
  • Formation and equity offerings by three LLCs or and limited partnerships which respectively developed Marriott and Hilton Hotels in Fort Myers and Estero, Florida.
  • Private placement of $7 million of LLC interests by a client creating a condominium hotel in Naples, Florida.
  • Formation of a $10 million venture capital partnership headquartered in Boston, Massachusetts.

Outside the office, John enjoys cycling and playing tennis. He is actively involved in Tenacity, a year-round youth development organization that offers free tennis instruction and academic enrichment to over 5,000 Boston youth.
